Terms and Conditions of Sale
These terms govern the support, development and maintenance services provided by Presta Debug to its business clients.

1. Purpose and scope
Presta Debug provides emergency PrestaShop support, maintenance, migration, custom module development, e-commerce website development and advertising campaign management services. Placing an order constitutes full and unconditional acceptance of these terms, which take precedence over any other document issued by the client.
2. Quotes, estimates and orders
An estimate is provided before any work begins. For emergencies, this estimate may initially be given verbally and then confirmed in writing. The order becomes binding once the client provides written approval, including by email.
An estimate is an assessment of the time required based on the information available. If the scope is found to be significantly different, the client will be informed before any further work is carried out.
3. Pricing and invoicing
Our hourly rate is 90 € excluding VAT per hour, billed according to the actual time spent. Maintenance plans and projects are quoted separately. All prices exclude VAT; the applicable rate is the one in force on the invoice date.
Unless otherwise agreed, services must be paid for paiement à réception de facture, par virement bancaire. Projects such as website builds and custom modules require a deposit when the order is placed, with the balance due on delivery.
4. Late payment
Any late payment will automatically incur penalties calculated at the statutory interest rate plus the applicable surcharge, together with a fixed €40 debt recovery fee, in accordance with Articles L441-10 and D441-5 of the French Commercial Code.
5. Customer obligations
The client agrees to provide all necessary access credentials (back office, FTP/SSH, database and hosting), maintain an up-to-date backup before work begins, and appoint a contact who can be reached while the service is being delivered. Missing access credentials or information may delay the work without liability on our part.
6. Performance of services
Support is provided from 9:00 to 22:00, 7 days a week. The stated initial response time of one hour is a commitment to respond promptly, not a guarantee that the issue will be resolved within that time. Resolution times depend on the nature of the problem.
Presta Debug is bound by an obligation to use reasonable endeavours. A backup will be created or checked before any changes are made, provided the client’s environment allows it.
7. Liability
Presta Debug may only be held liable in the event of proven fault, and its liability is limited to the amount actually received for the service concerned. Indirect losses are excluded, including loss of revenue, data not backed up by the client, customers or reputation.
We accept no liability for issues arising from the client's hosting, third-party modules, work carried out by third parties, or changes made by the client after delivery.
8. Intellectual property rights in development work
Ownership of bespoke developments created for the client is transferred to the client once the service has been paid for in full. Presta Debug retains ownership of its reusable technical components, libraries and expertise, as well as the right to reuse them in other projects.
9. Confidentiality
Each party agrees to keep confidential all information, access credentials and data exchanged in connection with the services, both throughout the engagement and after it ends.
10. Governing law and disputes
These terms are governed by French law. In the event of a dispute, the parties will seek an amicable resolution before initiating legal proceedings. Failing this, exclusive jurisdiction is granted to tribunaux compétents de Paris.
